1. Introduction
Welcome to Qubs, a platform operated by S.C. QUBHQ S.R.L. ("Company", "we", "us", or "our"), a company registered in Romania, with registered office at Luis Pasteur 28, Oradea, Bihor County, Romania, VAT number RO47754744.
These Terms and Conditions ("Terms") govern access to and use of the workspace and dashboard environment made available by us through:
qubs.appqubmenu.comany related dashboard, workspace administration interface, admin panel, location management interface, business backend, business control panel, or related business management services operated by us
For the purposes of these Terms, the workspace and dashboard environment may include, without limitation:
QubMenu Dashboard
workspace management tools
location management tools
business analytics and performance tools
translations
design customization tools
nutritional value display and nutritional calculator tools
QubAds integrations and related monetization, ad delivery, and ad management systems available in the business environment
QubMoments-related business controls and settings, where applicable
These Terms apply only to the business administration side of the platform.
These Terms do not govern end-user access to or use of:
public digital menus
public-facing QubMoments pages, feeds, reviews, posts, or other public-facing social surfaces
qubs.appwhen used as an end-user, visitor, guest, viewer, reviewer, or other public userany other public-facing consumer or guest experience
Separate terms, policies, notices, disclaimers, moderation rules, or community rules may apply to those public-facing or end-user-facing services.
2. When These Terms Take Effect
These Terms take effect when a workspace is created, not merely when an account is created.
A person may create an account without yet entering the business relationship governed by these Terms. However, once a user creates a workspace, requests creation of a workspace, or begins using the workspace and dashboard environment through a workspace, these Terms become applicable and legally binding.
By creating or using a workspace, you confirm that you have read, understood, and accepted these Terms.
If you do not agree to these Terms, you must not create or use a workspace.
3. Scope of Business Use Restriction
The platform includes both:
a workspace and dashboard environment, intended for business operators, partners, venue owners, managers, administrators, and other authorized commercial users; and
public-facing end-user services, such as digital menu viewing and public-facing QubMoments interfaces or surfaces.
The business use restriction applies only to the workspace and dashboard environment and related administrative functionality.
It does not apply to ordinary end users, customers, visitors, guests, or viewers using:
a digital menu as a public viewer
public-facing QubMoments pages, surfaces, feeds, reviews, or posts
qubs.appin its public-facing capacityany other public-facing interface intended for non-admin users
4. Eligibility for Workspace and Dashboard Use
To create, access, or operate a workspace, or to use the workspace and dashboard environment, you represent and warrant that:
you act on behalf of a business, company, legal entity, authorized professional activity, venue operator, or other commercial operator;
you have authority to act for that business or operator; and
you are using the workspace and dashboard environment strictly for business or commercial administration purposes.
If you are not acting on behalf of a business or commercial operator, you are not eligible to create or use a workspace under these Terms.
We reserve the right to suspend, restrict, reject, or terminate any workspace or related business access that does not meet this condition.
5. Account Registration, Verification, and Workspace Rules
To use the workspace and dashboard environment, you must create an account and then create a workspace.
When creating and operating a workspace:
you must provide accurate, current, and complete information;
email confirmation is mandatory;
a phone number is mandatory for workspace creation;
phone number confirmation may be optional, unless we decide to require it for security, anti-abuse, fraud prevention, compliance, operational, or verification reasons;
each account may have only one workspace;
you must keep login credentials secure and confidential; and
you are responsible for all activity carried out through your account and workspace.
We may suspend, reject, restrict, or delete accounts or workspaces containing false, incomplete, misleading, unauthorized, or unverifiable information.
6. Nature of the Service and Access Model
Qubs is a software platform that may be made available under a free-of-charge business partner model, subject to eligibility, approval, criteria, compliance, and ongoing qualification.
Use of the workspace and dashboard environment may be offered free of charge to approved businesses, but this free access is not unconditional and is not guaranteed as a matter of right.
Free use of the workspace and dashboard environment is subject to:
our approval of the business, workspace, and location;
compliance with these Terms;
any performance criteria, partner conditions, operational rules, or internal policies established by us;
the continued existence of the relevant free-access model;
technical and operational availability; and
our commercial decision to continue offering that access model.
We reserve the right to change, restrict, suspend, condition, or discontinue any free-access structure, feature, or partner model at any time.
Nothing in these Terms guarantees permanent free use, permanent access, or permanent eligibility.
7. Description of the Workspace and Dashboard Environment
The workspace and dashboard environment may include, without limitation:
digital menu creation, editing, management, and publishing controls
location administration tools
dashboard analytics and performance tools
translation controls
custom design controls
nutritional value display and nutritional calculator controls
ad-related configuration, reporting, monetization, and business-side controls through QubAds
QubMoments-related business controls, settings, visibility options, or location-level activation settings, where applicable
other business-facing tools, settings, dashboards, interfaces, or modules made available by us from time to time
We may add, remove, modify, restrict, suspend, or discontinue any feature, interface, section, function, module, or workflow at any time.
8. Location Creation and QubMoments Availability
A workspace may include one or more locations if allowed by the structure, rules, or product configuration in force at the relevant time.
After a location is created, QubMoments may become enabled or available for that location within the workspace and dashboard environment, where applicable.
The existence, configuration, visibility, and availability of QubMoments-related controls at location level are determined solely by us and may be changed at any time.
For clarity, these Terms govern only the business-side location and dashboard controls related to QubMoments, not the public-facing use of QubMoments by end users.
9. Performance-Based Feature Access
Certain QubMenu features may be granted or restricted based on the performance of an individual location.
This qualification system applies at location level, not at account or workspace level.
9.1. Internal support control
A switch may exist in the location edit area as an internal administrative control available only to the QUBHQ support team or other authorized QUBHQ personnel.
This control may be used by QUBHQ to deactivate or reactivate the performance-based access system for a location where necessary for support, operational, technical, commercial, abuse-prevention, or exceptional administrative reasons.
For clarity, this control is not a general self-service right of the business user, unless we explicitly make such functionality available in a specific case.
9.2. Standard 20-day period
For each location, a 20-day period begins from the date the location is created.
During that period, the performance-based qualification system does not begin yet.
9.3. Reset on reactivation
If the performance-based access system is deactivated and later reactivated for a location, the 20-day period resets and begins again from the time of reactivation.
9.4. One-time payment reset option
We may allow a one-time payment option that resets the performance-based access qualification flow for a location.
If such one-time payment is made and accepted by us, this will also reset the applicable 20-day period for that location.
The existence, price, scope, effect, and availability of such one-time payment are determined exclusively by us and may be changed, restricted, or removed at any time.
9.5. Qualification logic
Unless otherwise stated by us, feature eligibility is determined based on the average performance during the previous week.
A location may qualify by meeting either of the following metrics:
average AD Views per day
average Users per day
Meeting either threshold is sufficient for the relevant feature.
9.6. Current thresholds
Unless changed by us, the current thresholds are:
AD Revenue access
60+ Users per day
Translations access
30+ Users per day
Nutritional Values access, including display and calculator
10+ Users per day
We may modify, reinterpret, expand, reduce, suspend, remove, or override any threshold, criterion, metric, reset option, grace period, or qualification rule at any time.
We may also manually grant, deny, preserve, revoke, or override access to any feature for any location, workspace, or business.
10. Ads, QubAds Integration, and Monetization Model
By using the workspace and dashboard environment, you acknowledge and agree that the platform may include monetization systems controlled by us, including first-party advertising delivered through QubAds.
You expressly acknowledge and agree that:
we may display first-party ads through QubAds in QubMenu and QubMoments, including through surfaces made available via
qubs.app;we alone decide the presence, placement, timing, density, intensity, format, frequency, style, and behavior of such ads;
such ads may be used for monetization, internal campaigns, testing, promotion, partner campaigns, business operations, or commercial purposes;
free use of the workspace and dashboard environment may depend in whole or in part on ad delivery, ad monetization, or other monetization mechanisms controlled by us;
we may change the monetization model, ad logic, or ad behavior at any time.
You may not interfere with, block, manipulate, falsify, disable, or attempt to influence ad display, ad delivery, ad measurement, ad traffic, or ad-related logic.
11. Ad Revenue, Payout, and Campaign Budget Transfer
Where a business, workspace, or location becomes eligible for ad revenue under the rules in force at the relevant time, the following applies unless we expressly state otherwise in writing:
ad revenue may be requested for payout only after reaching a minimum of 20 EUR equivalent, calculated at the date of the request;
instead of requesting payout, eligible ad revenue may be transferred into QubAds and used as campaign budget;
we may determine the internal mechanics, exchange logic, processing flow, payout method, request format, campaign budget conversion method, technical conditions, verification steps, and review rules applicable to payout or transfer;
we may refuse, delay, hold, reverse, reject, or cancel payout or transfer in case of suspected fraud, abuse, artificial traffic, invalid activity, manipulation, non-compliance, policy breaches, legal concerns, tax concerns, invoicing issues, or operational review;
no payout is due unless and until all applicable conditions established by us are met.
We reserve the right to change payout conditions, minimum thresholds, request mechanics, transfer mechanics, review rules, campaign budget rules, or internal revenue allocation rules at any time.
12. Acceptance and Selection of Partners
Access to the workspace and dashboard environment under the free business partner model is subject to our acceptance.
We reserve the right, at our sole discretion, to choose our partners.
This means that we may accept, reject, restrict, suspend, discontinue, or refuse access for any business, workspace, location, operator, venue, category, or industry, with or without explanation, to the maximum extent permitted by law.
Nothing in these Terms creates a right to become or remain an accepted partner.
13. Prior Individual Contracts Take Priority
If you have previously purchased QubMenu or entered into a separate written contract, commercial agreement, annex, or other binding arrangement with us outside these Terms, and that agreement governs the same or overlapping subject matter, that separate agreement takes priority over these Terms to the extent of any inconsistency.
These Terms apply only to the extent they do not conflict with that separate agreement.
14. User Content in the Workspace and Dashboard Environment
You may upload business-related content to the workspace and dashboard environment, including menu items, names, descriptions, images, prices, logos, category names, texts, settings, metadata, and related materials.
By uploading content, you represent and warrant that:
you own the content or have the legal right to use it;
the content does not infringe third-party rights;
the content is lawful and suitable for publication or internal use;
the content does not contain malware, harmful code, unauthorized scripts, or unauthorized tracking technologies.
By uploading content, you grant us a worldwide, royalty-free, transferable, sublicensable right to host, store, process, reproduce, adapt, display, publish, distribute, and use that content to the extent necessary to operate, secure, improve, test, support, market, and provide the platform and related services.
We may remove, restrict, hide, reject, disable, reformat, or moderate business-side content at any time.
15. Nutritional Calculator Disclaimer
The workspace and dashboard environment may include nutritional value display tools and automated nutritional calculation tools.
These tools are provided for informational and operational convenience only.
You acknowledge and agree that:
nutritional outputs may depend on standardized data, AI assistance, user inputs, approximations, assumptions, or third-party sources;
we do not guarantee correctness, completeness, scientific precision, regulatory sufficiency, legal sufficiency, or compliance suitability of such outputs;
you are fully responsible for reviewing, validating, and approving any nutritional information before public use;
these tools are not a certified medical, dietary, legal, laboratory, or regulatory service.
We are not liable for any claim, sanction, loss, health issue, labeling issue, or compliance problem arising from inaccurate or incomplete nutritional information.
16. Translation and Automated Output Disclaimer
The workspace and dashboard environment may include AI-assisted or automated translation and related automated outputs.
You acknowledge and agree that:
such outputs may contain errors, omissions, ambiguity, inappropriate wording, or inaccurate interpretations;
you are fully responsible for reviewing, editing, validating, and approving any translated or automated output before publication or use;
we do not guarantee linguistic, legal, nutritional, cultural, commercial, or contextual accuracy of automated outputs.
We are not liable for losses arising from your reliance on automated outputs.
17. Availability and Service Nature
We aim to keep the workspace and dashboard environment operational, but we do not guarantee uninterrupted or error-free availability.
The workspace and dashboard environment is provided on an as is and as available basis, unless a separate written agreement expressly states otherwise.
We may perform maintenance, updates, emergency interventions, migrations, moderation actions, infrastructure changes, or feature changes at any time.
We may suspend, restrict, or degrade access for technical, legal, security, anti-abuse, compliance, operational, or commercial reasons.
18. Intellectual Property
All rights, title, and interest in and to the workspace and dashboard environment, including software, code, structure, interfaces, data models, dashboards, analytics systems, ad systems, logic, branding, design systems, and Company-created materials, remain the exclusive property of QUBHQ S.R.L. and its licensors.
We grant you a limited, revocable, non-exclusive, non-transferable right to use the workspace and dashboard environment strictly in accordance with these Terms.
You may not:
copy, resell, sublicense, lease, distribute, or commercially exploit the workspace and dashboard environment except as expressly allowed by us;
reverse engineer, decompile, disassemble, or attempt to extract source code, except where such restriction is prohibited by mandatory law;
interfere with security, authentication, traffic measurement, ad systems, access controls, or technical protections;
scrape, mirror, harvest, extract, or republish platform data without our written permission;
use our trademarks, brand assets, or trade dress without authorization.
19. Prohibited Conduct
You may not use the workspace and dashboard environment to:
violate any law or regulation;
provide false or misleading business information;
impersonate another business, operator, or authorized user;
upload illegal, deceptive, abusive, infringing, or unauthorized content;
distribute malware, harmful code, or disruptive scripts;
manipulate analytics, usage metrics, ad views, user counts, performance metrics, thresholds, payout logic, or revenue logic;
artificially generate, simulate, buy, or distort traffic, impressions, views, or users;
circumvent workspace limits, feature gates, eligibility logic, thresholds, or technical controls;
interfere with ad display, ad measurement, monetization logic, moderation logic, or internal systems;
damage the integrity, business model, normal functioning, or reputation of the platform.
Violations may result in immediate suspension, loss of access, loss of revenue eligibility, cancellation of payout, termination, and legal action.
20. Suspension and Termination
We may suspend, restrict, disable, or terminate any account, workspace, location, feature, monetization status, revenue eligibility, ad access, or use of the workspace and dashboard environment at any time if:
you breach these Terms;
you no longer qualify as an eligible business user of the workspace and dashboard environment;
we suspect abuse, fraud, artificial traffic, invalid activity, unlawful conduct, or security risk;
your use creates legal, operational, technical, reputational, or commercial risk;
we decide to stop offering a specific feature, module, model, category, or free-access structure.
Termination or restriction may occur with or without prior notice, to the extent permitted by law.
21. Limitation of Liability
To the fullest extent permitted by law, we are not liable for:
indirect, incidental, special, consequential, or punitive damages;
loss of revenue, profit, goodwill, customers, business opportunity, or data;
service interruptions, technical failures, downtime, delays, or degraded performance;
errors in translations, nutritional outputs, automated outputs, feature gating, threshold logic, or monetization logic;
ad intensity, ad placement, partner acceptance decisions, monetization decisions, or free-access eligibility decisions;
rejection, suspension, or loss of eligibility under the free business model;
acts or failures of third-party providers, infrastructure operators, payment processors, hosting providers, browsers, networks, or external dependencies.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the workspace and dashboard environment or these Terms shall not exceed the amount actually paid by you to us during the three months preceding the event giving rise to the claim.
If you use the workspace and dashboard environment entirely free of charge and have paid nothing to us during that period, our total aggregate liability shall, to the fullest extent permitted by law, be limited to 100 EUR.
Nothing in these Terms excludes liability that cannot legally be excluded.
22. Indemnification
You agree to indemnify and hold harmless QUBHQ S.R.L., its affiliates, directors, officers, employees, contractors, and representatives from and against claims, damages, losses, liabilities, costs, and expenses arising out of or related to:
your use of the workspace and dashboard environment;
your breach of these Terms;
your content;
your violation of law;
your infringement of third-party rights;
your manipulation of ad, revenue, feature access, or performance systems.
23. Separate End-User Terms
For clarity, these Terms do not govern the legal relationship applicable to public-facing end-user interactions with:
digital menus
public-facing QubMoments content
public-facing reviews, feeds, posts, or social surfaces
qubs.appas used by non-admin users, viewers, guests, or consumers
Separate terms, policies, community rules, moderation rules, privacy notices, content notices, or public-facing disclaimers may apply to those services.
Nothing in these Terms should be interpreted as replacing or limiting any separate legal terms applicable to those end-user-facing services.
24. Privacy and Data Processing
To the extent we process personal data in connection with the workspace and dashboard environment, such processing is governed by our applicable privacy documentation and data protection practices.
You are responsible for ensuring that any personal data you upload, process, or make available through the workspace and dashboard environment is handled lawfully and with the necessary notices, permissions, and legal basis required by applicable law.
25. Governing Law and Jurisdiction
These Terms are governed by the laws of Romania.
Any dispute arising out of or in connection with these Terms or the workspace and dashboard environment shall be submitted to the competent courts of Romania, including the courts having jurisdiction in Bihor County, unless mandatory law provides otherwise.
26. Changes to the Terms
We may modify these Terms at any time.
The updated Terms may be published on the platform or otherwise communicated through official Company channels.
Your continued use of the workspace and dashboard environment after the updated Terms become effective constitutes acceptance of the revised Terms.

Ads Policy
QubAds Advertising Policy

This Advertising Policy (“Policy”) governs all advertising activity conducted through the QubAds platform and related QUBS advertising surfaces (“Platform”), operated by QubHQ S.R.L.
This Policy applies to all Advertisers, Workspaces, Brands, Campaigns, Ads, budgets, affiliate sales, and advertising placements made available through QubAds, QubMenu, QUBS App, QubDigital.cloud, or any other QUBS advertising surface.
By creating a Workspace, submitting a Brand, creating a Campaign, uploading Ads, funding a Campaign, subscribing to a monthly advertising budget, or otherwise using the Platform, the Advertiser accepts this Policy and the applicable Terms and Conditions of the Platform.
If the Advertiser does not agree with this Policy, the Advertiser must immediately stop using the Platform.
1. Definitions
Advertiser means a legal entity, business, authorized representative, or approved commercial user using the Platform to promote products, services, events, offers, or brands.
Workspace means the account-level environment used to manage Brands, Ads, Campaigns, budgets, invoices, users, and advertising activity.
Brand means a business identity, product identity, service identity, venue identity, or promotional identity created inside the Platform and used for Ads.
Brand Category means one or more categories automatically or manually assigned to a Brand by the Platform and/or by QubHQ, based on the Brand’s business type, offer, content, industry, risk profile, and placement compatibility.
Campaign means an advertising configuration through which one or more Ads are displayed using an allocated budget.
Ad means any promotional item, banner, listing, card, message, image, video, link, call-to-action, or commercial content displayed through the Platform.
Partner Location means a business, restaurant, venue, event space, hotel, pub, bar, or other location using QubMenu, QUBS App, or another QUBS product and participating in the display of QubAds.
Advertising Surface means any area where Ads may be displayed, including digital menus, QUBS App listings, promoted listings, discovery surfaces, price/listing pages, partner pages, venue pages, event pages, or other QUBS-controlled advertising placements.
Budget means the amount allocated by the Advertiser for advertising activity.
Today Budget means a budget allocated for immediate or same-day advertising activity.
Scheduled Budget means a budget allocated for a defined period chosen by the Advertiser.
Monthly Budget Subscription means the default advertising budget model, available from June 2026, through which the Advertiser subscribes to a monthly amount that is automatically allocated, divided into daily budgets, and optimized by the Platform to obtain the best possible number of views based on available inventory, eligibility, and Platform logic.
Affiliate means a person or entity authorized by QubHQ to sell, introduce, or refer advertising clients under a separate commercial or affiliate agreement.
2. General Advertising Principle
QubAds is designed as a simple, local, contextual advertising system.
Advertisers may generally promote any lawful product, service, business, event, offer, brand, or commercial activity, as long as the content is legal, truthful, non-deceptive, and compatible with the Platform.
QubHQ does not guarantee that every Brand, Campaign, or Ad will be displayed in every location or on every advertising surface.
Visibility depends on Brand Category, location eligibility, Partner Location settings, available advertising surfaces, active budget, Platform optimization, legal restrictions, and QubHQ moderation.
3. Moderation and Platform Discretion
All Brands, Brand Categories, Campaigns, Ads, and advertising activity may be reviewed, moderated, restricted, approved, rejected, paused, archived, or removed by QubHQ.
Moderation may be manual, automated, or mixed.
QubHQ may take action based on:
this Policy;
applicable laws;
Platform integrity;
Partner Location preferences;
user experience;
Brand Category compatibility;
advertiser conduct;
risk of misleading, harmful, illegal, or inappropriate advertising.
QubHQ may deny, restrict, suspend, remove, or deactivate any Workspace, Brand, Campaign, Ad, budget usage, or advertising access at its own discretion, without obligation to justify the decision.
4. Advertiser Eligibility
Advertisers must provide factual, legal, and verifiable information.
Advertisers may only promote:
products or services they own;
products or services they directly provide;
products or services they are legally authorized to promote;
Brands, events, locations, or offers for which they have valid commercial authorization.
Advertisers are fully responsible for the accuracy, legality, and compliance of all submitted information.
QubHQ may request additional verification at any time.
Failure to provide verification may result in rejection, suspension, or removal from the Platform.
5. Prohibited Advertising
QubAds is permissive by default, but the following are prohibited platform-wide:
illegal products, services, businesses, or activities;
unlicensed regulated activities where a license is legally required;
betting, gambling, casinos, lotteries, raffles, fantasy sports, games of chance, or any chance-based financial reward system;
deceptive, fraudulent, or misleading commercial activity;
scams, phishing, impersonation, or fake businesses;
counterfeit goods or unauthorized use of protected brands;
products or services that violate applicable law in the targeted region;
content that directly promotes unlawful discrimination, violence, exploitation, or serious harm.
QubHQ may also reject or restrict Ads that are legally allowed but incompatible with the Platform, Partner Locations, user experience, or QUBS brand standards.
6. Brand Categories and Display Eligibility
When a Brand is created, the Platform may automatically assign one or more Brand Categories.
Brand Categories may also be reviewed, corrected, or modified by QubHQ.
Brand Categories influence where Ads may be displayed.
For example, a Brand may be categorized as restaurant, coffee shop, bar, hotel, event venue, retail, beauty, wellness, local services, tourism, entertainment, education, professional services, or another relevant category.
The assigned category may affect:
whether the Brand can appear in a specific Partner Location;
whether the Brand can appear in a specific Advertising Surface;
whether the Brand competes with the Partner Location;
whether additional moderation is required;
whether the Partner Location has allowed or excluded that category.
Advertisers may request a review of their Brand Category, but QubHQ has final decision authority.
Incorrect categorization caused by incomplete or misleading Brand information is the Advertiser’s responsibility.
7. Restaurant and Food Venue Advertising Rule
By default, restaurants and food-serving venues are not allowed to display Ads for competing restaurants, bistros, fast-food venues, bars, pubs, coffee shops, food trucks, catering services, or other businesses whose primary activity is preparing or selling food or drinks.
This default rule protects Partner Locations from showing direct competitor Ads inside their own digital menu or similar restaurant-controlled advertising surface.
However, restaurants and food-serving venues may still advertise through QUBS where the advertising surface is not a direct competitor placement inside another restaurant’s menu.
This may include, depending on Platform availability and eligibility:
QUBS App discovery surfaces;
promoted listings;
local business listings;
price or offer listing areas;
event-related placements;
non-menu advertising surfaces;
Partner Locations or businesses that explicitly allow such Ads.
QubHQ may decide whether a restaurant Ad is eligible for a specific surface.
Partner Location settings, Brand Categories, and Platform rules determine final display eligibility.
8. Partner Location Controls
Partner Locations may control, restrict, or exclude certain Brands, Brand Categories, or types of Ads from appearing in their advertising surfaces.
If a Partner Location excludes a Brand or category:
Ads from that Brand or category will not be displayed in that Partner Location;
the Ads may still be displayed in other eligible locations or surfaces;
the exclusion does not create a refund right;
the exclusion does not create a guaranteed replacement placement;
the Advertiser remains responsible for its active budget configuration.
Partner Locations may be automatically protected from direct competitor advertising according to Platform logic.
QubHQ may also apply additional exclusions to protect Platform quality, user experience, or commercial integrity.
9. Brand, Campaign, and Ad Workflow
The basic QubAds workflow is:
the Advertiser creates a Workspace;
the Advertiser creates one or more Brands;
the Platform assigns Brand Categories;
the Advertiser creates Ads under the Brand;
the Advertiser allocates a Budget;
the Platform displays eligible Ads on eligible Advertising Surfaces.
A Campaign may contain Ads from one or more Brands, depending on Platform availability and configuration.
If a Brand is rejected, suspended, removed, or made ineligible:
Ads associated with that Brand may be hidden, archived, paused, or removed;
Campaigns depending on that Brand may stop displaying;
the Brand may lose eligibility for certain Partner Locations or Advertising Surfaces;
no refund is owed.
If a Campaign has available budget but no eligible Ad for a specific placement, the Platform may skip that Campaign for that placement.
10. How QubAds Displays Ads
QubAds displays Ads using Platform logic based on eligibility and available advertising opportunities.
The system may consider:
available budget;
active Budget type;
Brand Category;
Partner Location eligibility;
Advertising Surface eligibility;
Region or local market context;
Partner Location exclusions;
legal restrictions;
content approval status;
Platform optimization;
available views and traffic;
Campaign activity status.
QubAds does not sell guaranteed impressions unless explicitly agreed in writing.
QubAds does not guarantee a fixed number of views, clicks, visits, conversions, customers, sales, or revenue.
The Platform is designed to optimize exposure based on available inventory and active budgets, but actual results depend on traffic, placement availability, eligibility, category restrictions, user behavior, competition, and Platform configuration.
11. Budget Models
QubAds supports the following budget models:
11.1 Today Budget
The Advertiser may allocate a budget intended for immediate or same-day advertising activity.
Today Budget is used by the Platform according to eligibility, available advertising surfaces, and Platform logic.
Unused amounts do not create a refund right.
11.2 Scheduled Budget
The Advertiser may schedule a budget for a selected period.
The Platform may divide, distribute, or optimize that budget across the selected period.
Scheduled Budget does not guarantee fixed daily delivery, fixed impressions, or fixed placement.
Unused amounts do not create a refund right.
11.3 Monthly Budget Subscription
The default QubAds budget model is the Monthly Budget Subscription, available from June 2026.
Through this model, the Advertiser subscribes to a monthly advertising amount.
The Platform automatically allocates the monthly amount, divides it into daily budgets, and optimizes delivery to obtain the best possible number of views based on:
available traffic;
eligible locations;
eligible advertising surfaces;
Brand Category;
Partner Location permissions;
Platform rules;
active Campaign configuration;
budget availability;
market and inventory conditions.
The Monthly Budget Subscription is designed to simplify advertising activity and avoid manual daily budget management.
Monthly Budget Subscription does not guarantee a specific number of impressions, clicks, conversions, or sales.
12. No Minimum Daily Budget
QubAds does not require a minimum daily budget for Campaign participation, unless a specific commercial package, promotion, or written agreement states otherwise.
The Advertiser may allocate budgets according to available Platform options.
However, very low budgets may result in limited visibility, slower delivery, or reduced competitiveness compared to higher budgets.
QubHQ may introduce, remove, or modify package rules, recommended budgets, optimization thresholds, or commercial plans at any time.
13. Payments, Top-Ups, Subscriptions, and Refunds
All payments, top-ups, subscription amounts, campaign budgets, advertising credits, and allocated funds are final and non-refundable to the maximum extent permitted by law.
QubHQ does not provide voluntary refunds under any circumstance, including but not limited to:
unused budget;
low visibility;
low number of views;
lack of clicks;
lack of conversions;
lack of sales;
Partner Location exclusions;
Brand Category restrictions;
rejected or removed Ads;
Campaign ineligibility;
Advertiser error;
incorrect targeting;
changed business plans;
inactive Campaigns;
failure to provide compliant Ads;
suspension caused by Policy violations.
Where mandatory law explicitly requires a refund, QubHQ will comply only to the extent strictly required by that mandatory law.
Allocated advertising amounts are not bank deposits, stored value accounts, financial instruments, or guaranteed media delivery commitments.
14. Affiliate Sales and Invoicing
QubHQ may work with Affiliates, sales partners, agencies, or authorized commercial representatives.
Affiliates may be entitled to a commission or commercial reward for validated sales, according to the separate commercial agreement between the Affiliate and QubHQ.
Unless otherwise agreed in writing, Affiliate compensation is based only on validated sold amounts actually paid by the Advertiser and accepted by QubHQ.
Affiliates may invoice QubHQ for their validated sold commission or commercial reward, according to the agreed commercial terms.
QubHQ may refuse, delay, or cancel Affiliate compensation in cases of:
refunded or reversed payment where mandatory law applies;
chargeback;
fraud;
fake account;
self-referral abuse;
misleading sale;
violation of this Policy;
violation of the Affiliate agreement;
incomplete invoice or tax documentation;
lack of valid commercial attribution.
Affiliate compensation is not automatically granted as advertising credit unless explicitly agreed in writing.
Affiliate rewards are not owed merely because an account was created. The sale must be valid, paid, attributable, and accepted by QubHQ.
15. Ad Content Rules
All Ads must be truthful, clear, legal, and non-deceptive.
Advertisers must not submit Ads that:
contain false or misleading claims;
impersonate another brand, person, or business;
use protected logos, trademarks, images, or content without authorization;
promote illegal products or services;
promote betting, gambling, lotteries, raffles, casinos, or games of chance;
make unverified medical, financial, environmental, or performance claims;
contain unlawful discriminatory content;
contain malicious links, phishing, malware, or deceptive redirects;
contain content that QubHQ considers damaging to Platform integrity.
Advertisers are fully responsible for ensuring that their Ads comply with all laws applicable to the targeted market.
QubHQ’s approval of an Ad does not mean that QubHQ confirms legal compliance.
16. Language and Localization
Ad content must be understandable and appropriate for the market where it is displayed.
QubHQ may require translation, localization, correction, or removal of Ads that are unclear, misleading, badly translated, or unsuitable for the relevant audience.
The Advertiser is responsible for the accuracy of all translated or localized content.
17. Advertising Surfaces
Ads may be displayed across one or more QUBS advertising surfaces, depending on Platform availability and eligibility.
These may include:
QubMenu digital menus;
QUBS App;
Partner Location pages;
local discovery areas;
promoted listings;
price or offer listing surfaces;
event-related surfaces;
category pages;
other QUBS-controlled advertising placements.
QubHQ may add, remove, redesign, modify, or reorganize Advertising Surfaces at any time.
The Advertiser does not acquire a right to any specific placement, location, layout, position, ranking, screen, Partner Location, or advertising surface unless explicitly agreed in writing.
18. No Guarantee of Results
QubAds is an advertising platform, not a guaranteed sales platform.
QubHQ does not guarantee:
impressions;
clicks;
conversions;
sales;
bookings;
calls;
visits;
leads;
revenue;
return on investment;
specific placement;
specific Partner Location access;
specific ranking;
uninterrupted display.
All performance depends on traffic, market demand, Brand Category, budget, ad quality, partner permissions, content eligibility, user behavior, and Platform logic.
19. Compliance and Legal Responsibility
Advertisers are solely responsible for ensuring that their business, Brand, Campaigns, Ads, offers, claims, products, and services comply with all applicable laws.
This includes, where applicable:
consumer protection law;
advertising law;
unfair competition law;
intellectual property law;
data protection law;
tax law;
sector-specific regulation;
licensing requirements;
local, national, and regional legal requirements.
QubHQ is not responsible for the Advertiser’s legal compliance. QubHQ can use any media or brand identity to promote the use of QubADS.
If an Advertiser requires a license, authorization, approval, registration, or certification to promote a product or service, the Advertiser must obtain and maintain it.
20. Enforcement
Violations of this Policy may result in one or more of the following:
Ad rejection;
Ad removal;
Brand recategorization;
Brand restriction;
Campaign pause;
Campaign cancellation;
Workspace suspension;
Workspace deactivation;
permanent ban;
loss of access to allocated budgets;
refusal of future advertising;
legal reporting where required;
claim for damages where applicable.
QubHQ may take preventive action before a violation is confirmed if it considers the action necessary to protect the Platform, Partner Locations, users, or QubHQ.
21. Indemnification
The Advertiser agrees to fully indemnify, defend, and hold harmless QubHQ S.R.L., its representatives, partners, affiliates, contractors, and service providers against any claims, losses, costs, damages, penalties, disputes, chargebacks, complaints, or regulatory actions arising directly or indirectly from:
the Advertiser’s Ads;
the Advertiser’s Brand;
the Advertiser’s Campaigns;
the Advertiser’s products or services;
the Advertiser’s business activity;
false or misleading claims;
intellectual property infringement;
lack of legal authorization;
violation of this Policy;
violation of applicable law.
This obligation survives termination, suspension, or deactivation of the Advertiser’s Workspace.
22. Platform Changes
QubHQ may modify the Platform, advertising logic, Brand Categories, eligibility rules, budget models, subscription options, optimization logic, advertising surfaces, Partner Location controls, and commercial packages at any time.
Such changes may affect visibility, eligibility, delivery, Campaign behavior, or budget usage.
Continued use of the Platform after changes means acceptance of those changes.
23. Modification of this Policy
QubHQ may update this Policy at any time.
The updated version becomes effective upon publication, unless a later effective date is stated.
Continued use of the Platform after publication confirms acceptance of the updated Policy.
If the Advertiser does not agree with the updated Policy, the Advertiser must stop using the Platform.
24. Governing Principle
This Policy is intended to keep QubAds simple, lawful, flexible, and commercially fair.
Advertisers may promote lawful businesses and offers, except where prohibited by this Policy, applicable law, Partner Location rules, Brand Category restrictions, or QubHQ moderation.
QubHQ retains final control over what appears on the Platform.
